Crowdfunding since 2010

1. What this is about

An Ambassador- Contract is an agreement between you as the project starter (“Project”) and a person who recommends your project (“Ambassador”).

Startnext provides the technical infrastructure (from the Pro plan onwards), attributes contributions, calculates commission based on the terms stored in the system and documents the transactions. Startnext is not a party to the commission agreement and does not pay out commission. As the project creator, you are responsible for payment. Separate contractual relationships governing use of the platform remain unaffected.

2. Offer, acceptance and contractual basis

The Ambassador-Contract is concluded when the Ambassador expressly accepts your offer within the displayed offer period.

The contract is based on the commission rates and conditions displayed in the offer, together with the version of these conditions incorporated into the agreement. Individual agreements between you may apply in addition; their precedence over standard terms remains unaffected.

The activity history (“Log”) provides a traceable record of the offer, acceptance, commission increases stored in the system, documented external payments and terminations. Both parties can view this history. Commission increases stored in the system, documented payments and contract terminations are also communicated by email.

3. Individual arrangements and automated calculation

Startnext calculates commission based on the terms stored in the system. Individual arrangements, such as fixed fees, product samples or content obligations, may be legally binding between you and may take precedence over these conditions. However, they are not automatically taken into account in the automated calculation.

Keep your own clear record of such arrangements. You are responsible for fulfilling and enforcing them. To increase commission rates using the system, use “Increase commission”. Other terms may be agreed through a new offer, where the product workflow supports this; doing so does not automatically extinguish existing claims.

4. Fair offers

  • Only offer commission that you can afford to pay after fees, costs and taxes, and include it in your project budget.

  • Do not make promises that contradict the offer or give the Ambassador a misleading impression of their earnings.

  • Do not put pressure on Ambassadors: no minimum audience reach, contractual penalties or exclusivity without a separate agreement.

  • Do not offer agreements to people you have not personally selected or who have no connection to your project. No mass distribution.

  • You cannot enter into an agreement with yourself.

5. Which contributions qualify for commission

Commission is calculated only on contributions to your project made from the time the offer is expressly accepted.

Two commission rates apply, as displayed in the offer:

  • Reward/sale: Commission is calculated based on the prices of the rewards.

  • Free contribution (“Donation” in the product): Commission is calculated based on the freely chosen contribution amount separate from the reward prices.

Pay-What-You-Want payments to Startnext and contributions to other projects are excluded.

6. Changing commission

You may increase the agreed commission rates during the draft, launch and funding phases, but you may not reduce them. Changes using this feature are not available in other project phases.

An increase applies retroactively to all contributions eligible for commission since acceptance of the agreement. By accepting the agreement, the Ambassador consents to such future increases.

7. Entitlement and payment

Under All or nothing (AON), entitlement to commission arises only if the project is successfully funded. Any commission displayed before that point is provisional and subject to this condition. Under Flex, entitlement to commission does not depend on reaching a funding goal.

As a rule, you pay the full commission amount due after the project has ended and after you have received the payout of the funds raised. Payment must be made no later than 30 days after your project’s payout. You make the payment outside Startnext.

Immediately after making the payment, document it using “Pay out amount”, entering the actual payment date. This feature records your external payment; it does not execute a bank transfer. Do not record a payment that has not been made.

If a contribution is cancelled or charged back after commission has been paid, you must resolve the consequences and any repayment owed directly with each other. Startnext does not recover commission on your behalf.

You are responsible for handling receipts, invoices or credit notes and the tax treatment yourselves. Startnext does not provide legal or tax advice.

8. Ending the agreement

You may terminate the agreement for future contributions. Commission entitlements that have already arisen remain in place. Before the project team terminates the agreement, you must pay the outstanding amount and document the actual payment.

Provide an objective reason. Termination to avoid paying commission already earned, or shortly before expected contributions without an objective reason, is not permitted. The termination and its reason are recorded in the log and communicated to the Ambassador by email. The affiliate link then remains active without commission in accordance with the intended product workflow.

The Ambassador may withdraw at any time. The agreement then ends for new contributions; entitlements that have already arisen remain in place.

9. Transparency towards the crowd and violations

Recommendations made in return for commission are advertising. Tell your Ambassadors to clearly label their posts, for example with “Advertising” or “Advertisement”. Do not provide wording that conceals a paid recommendation.

Ambassadors must not make false statements about your project or artificially generate contributions, for example through click farms, voucher abuse or spam.

In the event of violations, Startnext may restrict commission features for a project or account, deactivate links and review attributions. Such technical measures do not automatically extinguish claims that have already arisen between you.

10. Changes to these conditions

An agreement is governed by the version in effect when it was accepted. New versions apply only to new offers.
